Transitify Global Inc. – Standard Terms & Conditions of Service

1. Applicability and Definitions

These Terms and Conditions apply to all freight forwarding, logistics, customs brokerage, and related services provided by Transitify Global Inc. (hereinafter “the Company”). “Customer” refers to the shipper, consignee, importer, exporter, or any other party for whom the Company renders services. “Goods” refers to the cargo tendered for transportation or handling.

2. Role of the Company

Unless the Company physically carries or handles the shipment under its own proprietary Bill of Lading, it acts solely as an agent for the Customer. The Company is authorized to select and engage third-party carriers, truckers, forwarders, customs brokers, and warehousemen to transport and store the Goods. The Company assumes no liability as a carrier and is not responsible for any loss, damage, or delay while the Goods are in the custody of third parties.

3. Quotations and Rates

All rate quotations are strictly for informational purposes and are valid for 30 days unless otherwise specified in writing. Rates are based on current tariffs and exchange rates. The Company reserves the right to revise rates due to space availability, carrier General Rate Increases (GRI), and fluctuations in currency, fuel (BAF), or security surcharges imposed by underlying carriers.

4. Customer’s Responsibilities and Warranties

  • Accuracy of Information: The Customer is solely responsible for providing accurate weights, dimensions, commercial invoices, and customs documentation prior to export or import. Transitify Global Inc. will calculate chargeable weight based on the greater of the actual gross weight or volumetric weight.
  • Packaging: The Customer warrants that the Goods are properly and adequately packaged for standard logistics handling.
  • Compliance & Hazardous Cargo: The Customer agrees to declare any hazardous materials and hold the Company harmless against any liabilities, fines, or penalties arising from regulatory non-compliance.

5. Limitation of Liability

The Company’s liability for lost, damaged, or delayed cargo is strictly limited. Unless a higher value is declared in writing by the Customer prior to shipment and an additional fee is paid, the Company’s liability is limited to $50.00 per shipment, or the minimum limits established by applicable international conventions (e.g., Montreal Convention for air, COGSA for ocean). The Company shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits or delays.

6. Cargo Insurance

Transitify Global Inc. does not automatically provide transport or marine insurance for Goods. The Customer is strongly advised to arrange their own coverage. The Company will only procure insurance upon explicit written request from the Customer and at the Customer’s expense.

7. Payment Terms and Lien

Standard payment terms are due upon receipt unless extended credit terms have been approved in writing. The Company shall have a general and continuing lien on any and all property of the Customer coming into the Company’s actual or constructive possession for any unpaid freight charges, customs duties, or fees.
